Richard M. Johnston
Chairman and Director
Richard M. Johnston has served as a director since November 2004 and as chairman of the company’s board since February 2005. Since 2000, Johnston has been a managing member of Camden Partners Holdings, LLC, a private equity firm and investor in Picis. Previously, he was vice president of investments and a director at The Hillman Company, also an investor in Picis. Johnston is a graduate of Washington and Lee University and holds a master’s degree in business administration from The Wharton School of the University of Pennsylvania. He also served as chairman of the board of The West Penn Allegheny Health System and its predecessor organizations from 1979 to 2003. Johnston currently serves as a director of several of healthcare technology companies including Lombard Medical Technologies, COHR, Medivance, PharmaNetics and Webmedx.


Todd CozzensTodd C. Cozzens
Vice Chairman and Director
Cozzens is vice chairman and a director of the company’s board of directors. Cozzens, who co-founded Picis in 1994, has more than 23 years of experience in the healthcare technology and information systems industry. It was Cozzens’ original strategic vision of information systems for the high-acuity care areas of hospitals that drove the company’s growth trajectory over 1,500% since 2001. Prior to Picis, he served as the president of a division of Marquette Medical Systems (now GE Healthcare) and held several other senior management positions, including vice president of sales, from 1983 to 1995. Cozzens is a graduate of Marquette University and the Harvard Business School Executive Program for Management Development. He was named Entrepreneur of the Year by Ernst & Young in 2005 and was a four-time member of the U.S. Olympic Sailing Team.


Bernard Giroud Bernard Giroud
Vice Chairman and Director
Bernard Giroud is vice chairman and a director of the company’s board. Giroud currently leads investment activities for Louis Vuitton Moet Hennessy (LVMH) in Paris, initially joining as chief executive officer of Europ@web, then as investment advisor to the president. Previously, Giroud was a managing partner at Schroder Ventures, Paris where he was an early-stage investor in Picis. While at Schroder Ventures (now Permira), Giroud raised and managed Schroder Ventures’ first Venture Fund in France. Giroud also is the former president of Intel Europe and vice president of Intel Corporation. He is a graduate of École Nationale Supérieure des Télécommunications de Paris and received a master’s degree in business administration from INSEAD. Giroud has served on more than 20 boards worldwide, including five chairmanships.


Tommy ThompsonTommy G. Thompson
Director
Tommy G. Thompson is a director of the company’s board. Secretary Thompson, the former U.S. Health and Human Services secretary and four-term governor of Wisconsin, the longest tenure in that state’s history. He is currently chairman of the Deloitte Center for Health Solutions and a partner at the law firm of Akin Gump Strauss Hauer & Feld, where he is responsible for developing innovative solutions to the healthcare challenges facing American families, businesses, communities, states and the nation. He received his bachelor’s degree and law degree from the University of Wisconsin-Madison. Secretary Thompson has received numerous awards for his public service, including the Anti-Defamation League’s Distinguished Public Service Award. In 1997, Thompson received Governing magazine’s Public Official-of- the-Year Award, and he received the Horatio Alger Award in 1998.


Michael LongT. Michael Long
Director
T. Michael Long is a director of the company’s board. Long is a general partner of Brown Brothers Harriman, an investment firm, where he co-founded the corporate finance department, as well as the 1818 family of private equity funds, of which, the ISIS Fund111, is an investor in Picis. Long is a graduate of Harvard University, where he was the Corning Glass Traveling Fellow, and he received a master’s degree in business administration with distinction from the Harvard Business School. Long’s directorships have included MedSource, Nobel Biocare and several successful energy concerns. He serves as a director of Hospital Corporation of America and of Computerized Medical Systems and is a trustee of Ithaca College.


David CollinsDavid J. Collis
Director
David J. Collis is a director on the company’s board. He is an adjunct professor in the strategy group at the Harvard Graduate School of Business Administration at which, along with the Yale School of Management and the Columbia Business School, he has been a professor for twenty years. Previously, he was a consultant with the Boston Consulting Group in London. Collis has a doctorate and a master’s degree in business administration from Harvard University and a master’s degree in arts from Cambridge University. He serves on the boards of the Hult School of Management, Fusion University and Brittin College and on the advisory boards of Muzzy Lane, FolderWave and Nuventive. Collis was the Wrenbury Scholar of Cambridge University and a Baker Scholar and Dean’s Doctoral Fellow at the Harvard Business School.


Adam FrankelAdam B. Frankel
Director
Adam B. Frankel has served as a director since May 2006. Frankel is the senior managing director and general counsel of Evercore Partners, an investment firm. Prior to that, Frankel served as senior vice president, general counsel and corporate secretary of Genesee & Wyoming, Inc from 2003 until 2006. Previously, Frankel was with Ford Motor Company where he served from 1999 until 2003 as a corporate transactions attorney in the Office of General Counsel and as a business manager for mergers and acquisitions in diversified consumer services. Between 1995 and 1999, he was an associate with Simpson Thacher & Bartlett LLP in London and New York. Frankel received a bachelor's degree in economics from Brown University in 1989 and his juris doctor from Stanford University School of Law in 1993.


John Waller John L. Waller, M.D.
Director
John Waller is a director of the company's board. Waller is the director of medical informatics and professor of anesthesia and perioperative medicine at Medical University of South Carolina, and chaired the department before assuming his current role. From 1977-2001 he held positions at Emory University School of Medicine and Health System,including professor and chairman of anesthesiology, associate VP for information services, chief information officer and chief medical officer. Waller received his medical degree from Loma Linda University, his anesthesiology training at the Massachusetts General Hospital/Harvard University, and completed the Executive Development Program at Kellogg Graduate School of Management. He has served on the boards of large multi-specialty medical group practice plans and several national and international medical organizations. Additionally, Waller served in the US Air Force Medical Corps and has been recognized by Best Doctors in America and Who's Who in America.


Richard DieterRichard Dieter
Director
Richard Dieter is a director of the company’s board. Dieter was a partner with Andersen LLP from 1976 to 2002 and continues to work part time as a principal. Previously, he was an accounting and audit practice director for New England and Latin America and was responsible for risk management for the software industry. From 1987 to 1997 he was the director of Andersen’s SEC Practice. Prior to that he served in a variety of roles including as an audit engagement partner for public and privately-held companies. He is a graduate of Boston University and earned a master’s degree in accounting from the University of Massachusetts in Amherst. Dieter has held several leadership roles in professional associations including as chair of the AICPA-SEC International Task Force and as a member of the Auditing Standards Board.
